Terms of Service

These terms govern your use of the Ayla platform and API. We've written them to be readable, not to obscure your rights.

1. Acceptance & eligibility

By accessing or using the Ayla platform, API, or any associated services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

You must be at least 18 years old and operating a legitimate business to use the Services. Ayla reserves the right to verify your identity and business registration before granting full API access.

2. The platform

Ayla provides a Communication Intelligence Platform consisting of fraud detection, delivery scoring, channel routing, sender ID verification, and conversational AI services, delivered via REST API. The Services are provided "as is" with the SLA commitments set out in Section 6. We may update, improve, or discontinue features with reasonable notice.

3. Your obligations

You agree to:

  • Keep your API keys secure and not share them with unauthorised parties
  • Use the Services only for lawful messaging purposes and in compliance with applicable telecommunications law
  • Obtain necessary consents from end recipients before sending messages via the platform
  • Maintain accurate account information and promptly update it if it changes
  • Notify Ayla immediately if you suspect your API credentials have been compromised
  • Comply with all applicable data protection law, including NDPR and GDPR where relevant

4. Prohibited use

You must not use the Services to:

  • Send unsolicited commercial messages (spam) or conduct phishing, smishing, or vishing
  • Artificially inflate traffic, conduct SIM farming, or engage in traffic pumping
  • Impersonate any person, organisation, government, or financial institution
  • Transmit malware, fraudulent content, or content that violates any applicable law
  • Reverse-engineer, decompile, or attempt to extract the underlying models or algorithms of the platform
  • Resell or sublicense access to the API without a written reseller agreement

Violation of these prohibitions may result in immediate suspension without refund and may be reported to relevant authorities.

5. Fees & payment

Pricing is set out in your order form or the Ayla pricing page. Fees are invoiced monthly in arrears based on actual usage. Payment is due within 14 days of invoice. Late payments accrue interest at 2% per month. Ayla may suspend access for non-payment after a 7-day cure period.

6. SLA & uptime

Enterprise plans include a 99.9% monthly uptime SLA for the Anomaly Detection Engine and Channel Decision API. Breaches entitle you to a service credit equal to 10% of monthly fees for each 0.1% below the SLA, up to 30% of monthly fees. Credits are applied to future invoices and are your sole remedy for uptime failures.

7. Intellectual property

Ayla retains all rights to the platform, models, algorithms, and documentation. Your data remains yours. We do not claim ownership of the content you process through the platform. You grant Ayla a limited licence to process your data solely to provide the Services as described in the Privacy Policy.

8. Limitation of liability

To the maximum extent permitted by law, Ayla's total liability to you for any claim arising from these Terms or the Services is limited to the fees you paid in the 3 months preceding the claim. We are not liable for indirect, consequential, or punitive damages, including loss of revenue or business opportunity, even if advised of the possibility of such damages.

9. Termination

Either party may terminate these Terms with 30 days' written notice. Ayla may terminate immediately for material breach, including violation of Section 4. On termination, your access will be revoked and your data will be deleted within 30 days, except where retention is required by law.

10. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes will be resolved by arbitration under the Lagos Court of Arbitration rules, with proceedings in Lagos. For customers operating exclusively within the European Union, English law applies and disputes are subject to the exclusive jurisdiction of English courts.
